In order to provide you with better services, please read the "[Talkii]" User Service Agreement (hereinafter referred to as the "Agreement") carefully. 1. Scope of application
1.1 This agreement is between you and [Hangzhou Nayouwho Technology Co., Ltd.] (hereinafter referred to as "we" or "the company") regarding your download, installation, registration, login, use of the "[Talkii]" software, and access to "[Talkii]" Talkii]" software to provide related services agreement. We have the right to unilaterally decide, arrange or designate its affiliates, controlling companies, successor companies or third-party companies approved by the company to continue operating the "[Talkii]" software according to the needs of "[Talkii]" software and related services or operations. Moreover, some of the services involved in this agreement may be provided to you by the company's affiliates, controlling companies, successor companies or third-party companies recognized by the company. 1.2 "User" refers to all users who directly or indirectly obtain and use the "[Talkii]" software and related services, including natural persons, legal persons and other organizations. Referred to as "User" or "You" in this Agreement.
1.3 "[Talkii]" refers to the client application legally owned and operated by us with the label name "[Talkii]". The company has the right to unilaterally change the name of the application (including but not limited to renaming, adding, etc.). After the company issues the name change announcement, all the provisions of this agreement apply to the renamed client application.
1.4 The content of this agreement also includes relevant agreements, rules and other content (including "[Talkii]" Privacy Policy) that the company has released and may continue to release in the future regarding the "[Talkii]" software and related services. Once the aforementioned content is officially released, the company will remind you to read it in an appropriate manner (system notification, etc.). The aforementioned related agreements and rules constitute an integral part of this agreement, and your continued use of the "[Talkii]" software is deemed to be your agreement to abide by the aforementioned related agreements, rules, etc.
2. Using "[Talkii]" software and related services
2.1 When you use "[Talkii]" software and related services, you can obtain "[Talkii]" client applications or visit [Talkii] related websites through pre-installation, third-party downloads authorized by the company, etc. If you do not obtain the software from the company or a third party authorized by the company, the company cannot guarantee that the unofficial version of "[Talkii]" software can be used normally or has no other risks, and the company has nothing to do with the losses you suffer.
2.2 You understand and agree that the VIP membership service is an online commodity and virtual commodity, and it adopts the method of charging first and then serving. The VIP membership fee is the price of the online commodity corresponding to the membership service you purchased, not the advance payment or deposit, deposit, Savings cards and other properties, once the VIP membership service is activated, it cannot be transferred or refunded (except for cases where you cannot use the VIP membership service at all due to major flaws or laws and regulations require a refund or we judge that it can be refunded). 2.3 You can use "[Talkii]" software and related services or update the version of "[Talkii]" according to your needs. If you no longer need to use "[Talkii]" software and related services, you can uninstall it yourself.
2.4 In order to better improve user experience and services, the company will provide software updates or changes from time to time (including but not limited to software modifications, upgrades, function enhancements, development of new services, software replacement, etc.). In order to ensure the security of "[Talkii]" software and related services and improve user experience, after the software and related services are updated or part of the service content is updated, where possible, the company will use the following methods, including but not limited to system prompts, announcements, and in-site notifications. Users are reminded through letters and other means that users have the right to choose to accept the updated version or service. If the user does not accept it, the old version of the software may no longer be maintained by the company, which may cause some functions to be restricted or no longer available, and the user shall bear the consequences.
2.5 Unless expressly authorized in advance in writing, you may not access or use "[Talkii]" software and related services in any form without authorization, including but not limited to adaptation, reproduction, dissemination, vertical search, mirroring or trading. All consequences caused by illegal use shall be borne by you.
2.6 You understand that you need to prepare terminal equipment related to the software and related services (such as computers, mobile phones, etc.) to use the "[Talkii]" software and related services. Once you open the "[Talkii]" software in your terminal equipment Or visit [Talkii] related websites, you are deemed to use "[Talkii]" software and related services. In order to fully realize all the functions of "[Talkii]", you may need to connect its terminal equipment to the Internet, and you understand that you will bear the required expenses (such as traffic charges, Internet access charges, etc.)
2.7 The company grants you a personal, revocable, non-transferable, non-exclusive and non-commercial right to legally use the "[Talkii]" software and related services. All other rights not expressly authorized by this Agreement are still reserved by the Company. You must obtain additional written permission from the Company when exercising these rights. At the same time, the failure of the Company to exercise any of the aforementioned rights does not constitute a waiver of such rights.
2.8 In order to enable you to better use "[Talkii]" software and related services, and to protect your account security, certain functions and/or certain individual service items require you to provide a real mobile phone in accordance with relevant national laws and regulations. It can only be used after registering with real name and logging in.
2.9 If you find any content that infringes your rights in the "[Talkii]" software, please notify the company immediately via email robin_2017@vcore.hk, and provide preliminary evidence that you have relevant rights, and the company will deal with you in a timely manner according to local laws and regulations complaints. If your content in "[Talkii]" is infringed by relevant rights holders, you can also submit a counter-notification and relevant proof of rights to robin_2017@vcore.hk to appeal to the company, and the company will also Handle your grievance in a timely manner in accordance with local laws and regulations.
3. About "Account"
3.1 "[Talkii]" provides users with a registration channel, and users have the right to choose a legal combination of characters as their account password. The verification code obtained by the user's login mobile phone number and the account password set are the credentials for the user to log in and use the "[Talkii]" software and related services as a registered user. Please take good care of your device, account number and password, and you will be responsible for any losses caused by loss or leakage.
3.2 Account cancellation
When you need to terminate the use of the "[Talkii]" account service, you can apply to cancel your "[Talkii]" account if the following conditions are met:
(1) You can only apply to cancel your own account, and cancel according to the process of “[Talkii]”;
(2) You should still be responsible for your actions before canceling your account and during the use of "[Talkii]" services;
(3) You understand that after the cancellation is successful, account records, functions, etc. will not be restored or provided.
(4) If you use your account for any violation of laws and regulations, the company has the right to give warnings, temporary or permanent account bans, account cancellations, etc. according to the severity of the circumstances, and all consequences arising therefrom will be borne by you.
If you need to cancel your "[Talkii]" account, please refer to the relevant terms and conditions of the "[Talkii]" "Privacy Policy".
3.3 You understand and promise that the account you set up shall not violate national laws and regulations and relevant rules of the company, and your account name, avatar, profile and other registration information and other personal information shall not contain illegal or harmful information. With the permission of others, you must not open an account in the name of another person (including but not limited to fraudulently using other people’s name, name, font size, avatar, etc. to cause confusion), and you must not maliciously register "[Talkii]" accounts (including but not limited to frequent registration, batch registration of accounts, etc.). You must abide by relevant laws and regulations during account registration and use, and you must not implement any behavior that infringes on national interests, damages the legitimate rights and interests of other citizens, or harms social morality. The company has the right to review the registration information you submit. For those who violate the above circumstances, the company has the right not to register the account; if the account has already been registered, the company has the right to ask you to change it within a time limit, eliminate the above circumstances, or seal the account, cancel the account, etc. You shall bear all the consequences arising from your violation of the above circumstances.
3.4 Your registered account in "[Talkii]" is limited to your own use, without the written consent of the company, it is forbidden to give, borrow, lease, transfer, sell or otherwise allow others to use the account in any form. If the company finds or has reasonable grounds to believe that the user is not the initial registrant of the account, in order to ensure the security of the account, the company has the right to immediately suspend or terminate the service provided to the registered account, or cancel the account.
3.5 You are responsible for maintaining the security and confidentiality of your personal account and password, and assume full legal responsibility for the activities you engage in in the name of your registered account, including but not limited to any activities you conduct on "[Talkii]" Operational behaviors such as data modification, speech publication, payment payment, etc. You should attach great importance to the confidentiality of your account and password, and do not disclose your account and password to others under any circumstances. If you find that others use your account without permission or have any other security breaches, you should notify the company immediately.
3.6 After losing or forgetting your account password, you can contact customer service to help you retrieve your account or password. You understand and agree that the company's password retrieval mechanism requires you to provide relevant information for verification. If you cannot provide relevant information to prove the ownership of the account, you will not be able to retrieve the account or password. The company specially reminds you to keep your account and password in a safe place. When you're done using it, you should log out safely. You will be solely responsible for account theft or password loss due to your own reasons such as improper storage or other irresistible factors.
3.7 When registering, using and managing the account, you should ensure the authenticity of the identity information filled in when registering the account. Please use real, accurate, legal and valid relevant identity certification materials and necessary information when registering and managing the account. Information (including but not limited to your name and email address, contact number, contact address, etc.). According to national laws and regulations, in order to use some functions of this software and services, you need to fill in your real mobile phone number. Please complete the real-name authentication of your mobile phone number in accordance with relevant laws and regulations, and pay attention to updating the above relevant information in a timely manner. 3.8 In addition to registering the “[Talkii]” account by yourself, you can also choose to register and log in to use the “[Talkii]” software through authorized use of third-party software or platform user accounts legally owned by you, including but not limited to real-name registration and related services, except for those restricted or prohibited by third-party software or platforms. When you log in with the aforementioned existing account, you should ensure that the corresponding account has been registered with a real name, and agree to apply the relevant provisions of this agreement; if for some reason, the third-party software or platform user account can no longer be used in the “[ Talkii]” software, please register the “[Talkii]” account in time and continue to use it, otherwise you will be responsible for all consequences.
3.9 The company shall not be responsible for account theft or loss due to other people's malicious attacks, your own reasons or other irresistible factors.
3.10 You understand that in order to make full use of account resources, if you fail to log in for the first time in time after registration or do not log in to an idle account for more than two consecutive months, the company has the right to withdraw your account at any time. If your account is withdrawn, you may not be able to log in and use the "[Talkii]" software and related services through the account you previously held, and any personalized settings and usage records saved under your account will not be restored.
Before withdrawing your account, the company will prompt you in an appropriate manner. If you fail to log in and use your account within a certain period of time after receiving the relevant prompt, the company will withdraw the account.
If your account is withdrawn, you can log in and use "[Talkii]" software and related services by registering a new account. Your behavior of registering a new account, logging in, and using it is still bound by this Agreement and the relevant terms of the "[Talkii]" Privacy Policy.
4.user personal information protection
4.1 We attach great importance to the protection of user information, and protecting users’ personal information is one of the company’s basic principles. The company is committed to protecting users' personal information (i.e., information that can identify users independently or combined with other information) together with users.
4.2 In the process of using "[Talkii]" software and related services, you may need to provide your personal information (including but not limited to your name, phone number, location information, device information, etc.) so that the company can provide Provide you with better services and corresponding technical support. You understand and agree that the company has the right to collect, use (including commercial cooperation), store and share on the premise of providing you with better services and complying with laws and regulations, this agreement and the "[Talkii]" Privacy Policy At the same time, we will protect your rights to browse, modify, delete relevant personal information and withdraw consent in accordance with the law.
4.3 You can browse and modify the personally identifiable information you submit at any time. 4.7 Considering that "[Talkii]" software and related services may include or link to information or other services (including websites) provided by third parties. You know and understand that third parties operating such services may ask you to provide personal information. 5. User Code of Conduct
5.1 User Behavior Requirements
You shall be responsible for its use of this product and related services. Unless permitted by law or with the prior written permission of the company, you shall not have the following behaviors when using "[Talkii]" software and related services:
5.1.1 Use any plug-ins, plug-ins, systems or third-party tools that are not authorized or licensed by the company to interfere with, destroy, modify or otherwise affect the normal operation of "[Talkii]" software and related services.
5.1.2 Use or aim at "[Talkii]" software and related services to conduct any behaviors that endanger computer network security, including but not limited to:
(1) Illegal intrusion into others' networks, interference with the normal function of others' networks, theft of network data and other activities that endanger network security;
(2) Provide programs and tools specifically used to engage in activities endangering network security such as intruding into the network, interfering with the normal functions and protective measures of the network, stealing network data;
(3) If you know that others are engaged in activities that endanger network security, provide technical support, advertising promotion, payment settlement and other assistance;
(4) Use unauthorized data or enter unauthorized servers/accounts;
(5) Accessing public computer networks or other people's computer systems without permission and deleting, modifying, and adding stored information;
(6) Unauthorized, attempting to probe, scan, test the weaknesses of the "[Talkii]" system or network, or other behaviors that undermine network security;
(7) Attempting to interfere with or destroy the normal operation of the "[Talkii]" system or website, intentionally spreading malicious programs or viruses, and other behaviors that disrupt and interfere with normal network information services;

5.1.3 Reverse engineer, reverse assemble, compile or otherwise try to discover the source code of the software “[Talkii]”.
5.1.4 Malicious registration of “[Talkii]” accounts, including but not limited to frequent and batch registration of accounts.
5.1.5 Violation of laws and regulations, this agreement, the company's relevant rules and other acts that infringe upon the legitimate rights and interests of others.
In any case, if the company has reason to believe that any of your actions violates or may violate the above agreement, the company can independently judge and deal with it, and has the right to terminate the submission to you at any time without any prior notice. Users provide services and pursue relevant responsibilities.
5.2 Information Content Specification

(16) infringing on others' rights of privacy, reputation, portrait, intellectual property and other legitimate rights and interests;
(17) Dissemination of commercial advertisements, or similar commercial solicitation information, excessive marketing information and spam;
(18) Comments in languages other than the commonly used languages of this website;

(21) Violating the legal rights and interests of minors or damaging the physical and mental health of minors;

6. "[Talkii]" Information Content Usage Specifications
6.1 Without the written permission of the company, the user shall not, or authorize, allow, or assist any third party to conduct the following acts on the information and content of the "[Talkii]" software and related services in this agreement:
(1) Copy, read, and use the information content of "[Talkii]" software and related services for commercial purposes including but not limited to publicity, increasing reading volume, and browsing volume;
(2) Edit, organize and arrange the information content of "[Talkii]" software and related services without authorization and display it in channels other than the source page of [Talkii] software and related services;
(3) Use any form of identification methods including but not limited to special logos, special codes, etc., to generate traffic, transfer, hijack, etc. on the information or content of "[Talkii]" software and related services by itself or assist a third party Adverse effects;
(4) Other acts of illegally obtaining the information content of "[Talkii]" software and related services.
6.2 With the company's written permission, the user's behavior of sharing information and content of the "[Talkii]" software and related services shall also comply with the following specifications:
(1) For the relevant data captured, counted and obtained, without the prior written consent of the company, the data shall not be published, provided or disclosed to any third party in any way;

7. Breach of Contract Handling
7.1 In response to your violation of this agreement or other terms of service, the company has the right to independently judge and take measures such as pre-warning, restricting some or all functions of the account, or permanently closing the account as appropriate. The company has the right to announce the results of the processing and decide whether to resume use based on the actual situation. Relevant records will be kept for suspected violations of laws and regulations and suspected crimes, and reports to relevant competent authorities in accordance with the law and cooperate with relevant competent authorities in investigations. The company reserves the right not to return deleted content.
7.2 If a third party complains or makes a claim due to your violation of this Agreement or other terms of service, you shall bear all legal responsibilities. If your illegal or breach of contract causes the company and its affiliated companies, controlling companies, and successor companies to compensate any third party or be punished by state agencies, you should also fully compensate for all losses caused.
7.3 The company respects and protects the intellectual property rights, reputation rights, name rights, privacy rights and other legitimate rights and interests of legal persons and citizens. You guarantee that the text, video, pictures, music, etc. uploaded when using the "[Talkii]" software and related services do not infringe any third party's intellectual property rights, reputation rights, name rights, privacy rights and other rights and legal rights. Otherwise, the company has the right to remove the allegedly infringing content upon receipt of notification from the rights holder or relevant party. For all the claims made by the third party, you shall bear all the legal responsibilities yourself; if your infringement causes the company and its affiliated companies, controlling companies, and successor companies to suffer losses (including but not limited to economic, goodwill, etc. losses) , you should also fully compensate the company and its affiliates, controlling companies, and successor companies for all losses suffered.
8. Service change, interruption and termination
8.1 You understand and agree that the "[Talkii]" software and related services provided by the company are provided according to the status quo that the existing technology and conditions can achieve. The company will do its best to provide services to you and ensure the continuity and security of services. You understand that the company cannot foresee and prevent legal, technical and other risks at any time, including but not limited to force majeure, viruses, Trojans, hacker attacks, system instability, third-party service defects and other intrusions from various security issues. 8.2 You understand and agree that the company has the right to modify, interrupt, suspend or terminate the "[Talkii]" software and related services after announcement and notice based on adjustments to business strategies or operational needs, without being responsible or liable to users. 8.3 You understand and agree that after the service is suspended or terminated, the company is not obligated to provide or return any data to you.
9. Advertising
9.1 During the process of using "[Talkii]" software and related services, you fully understand and agree that this service may include information, advertisement release or brand promotion services launched by the company for individuals or businesses, and you agree that the company has the right to "[Talkii]" software and related services display commercial advertisements, promotions or information (including commercial or non-commercial information) of "[Talkii]" software and related services and/or third-party suppliers and partners.
9.2 If you do not agree with the advertisement, you have the right to choose to stop using "[Talkii]" software and related services; for "[Talkii]" push notification service, you have the right to close the service yourself or stop using "[Talkii]" Talkii]” software and related services.
9.3 The company fulfills its advertising and promotion-related obligations in accordance with the law. 10. Intellectual Property

Without the permission of the company, no one may use without authorization (including but not limited to monitoring, copying, disseminating, displaying, mirroring, uploading, downloading the contents of "[Talkii]" software and related services through any robot, spider and other programs or equipment) .
10.2 You understand and agree that the texts, pictures, videos, audios, etc. uploaded when using "[Talkii]" software and related services are all original by you or have been legally authorized (including subauthorization). The intellectual property rights of any content uploaded, synthesized and saved by you through "[Talkii]" belong to you or the original copyright owner, and any infringement liability disputes arising therefrom shall be borne by you.
10.3 You know, understand and agree that you publish and upload content through "[Talkii]" (including but not limited to text, pictures, video, audio, music works, sounds, dialogues, etc. included in video and/or audio) , grants the Company and its affiliates, controlling companies, and successor companies a worldwide, gratuitous, non-exclusive, sublicensable (through multiple levels) rights (including but not limited to reproduction rights, translation rights, compilation rights, information network dissemination rights, adaptation rights, production of derivatives, etc.), the scope of use includes but is not limited to current or other websites, applications, products or terminal devices, etc. You hereby acknowledge and agree that the grant of the foregoing rights includes the use and other development of the Content in any promotion, advertising, marketing and/or publicity relating to the Content, "[Talkii]", Company and/or Company Brands (all or part thereof) rights and licenses. For the avoidance of doubt, you agree that the grant of the above rights includes using, copying and displaying your personal image, likeness, name, trademark, service mark, brand, name, logo and company mark ( if any) and any other branding, marketing or promotional assets.
10.4 You confirm and agree to authorize the company in the name of the company itself or entrust a professional third party to protect the rights of the content that infringes the intellectual property rights uploaded and published by you. 10.6 Please do not use any trademark, service mark, trade name, domain name, website name or other distinctive brand features of the company including but not limited to "[Talkii]" (hereinafter collectively referred to as "logo") "). Without the prior written consent of the company, you may not display, use or apply for registered trademarks, register domain names, etc. individually or in combination in any way, and you may not expressly or imply to others the right to display, use, or otherwise have the right to The right to deal with the behavior of these marks. If you use the company's above-mentioned trademarks, logos, etc. in violation of this agreement and cause losses to the company or others, you shall bear all legal responsibilities.
11. Disclaimer
11.1 You understand and agree that "[Talkii]" software and related services may be affected or interfered with by a variety of factors, and the company does not guarantee (including but not limited to):
11.1.1 The company’s software and related services fully meet the user’s requirements;
11.1.2 The Company will be uninterrupted, timely, secure, reliable or error-free; any software, services or other materials obtained by the user through the Company will meet the user's expectations;
11.1.3 Any errors in the software will be corrected.
11.2 Users should treat with caution and make their own judgments regarding online information, account passwords, advertising or promotions that are suspected of borrowing money or other property-related information. Based on the aforementioned reasons, you may suffer losses in profits, business reputation, data or other information. The company shall not be liable for any direct, indirect, incidental, special, consequential or punitive damages for tangible or intangible losses.
11.3 Users understand and agree that in the process of using "[Talkii]" software and related services, they may encounter force majeure and other factors (force majeure refers to objective events that cannot be foreseen, cannot be overcome and cannot be avoided), including but not limited to Government actions, natural disasters, cyber causes, hacker attacks, wars or any other similar events. When force majeure occurs, the company will strive to repair it as soon as possible. However, if the force majeure causes losses to the user, the user agrees that the company will not be held responsible.
11.4 The company has the right to deal with illegal content in accordance with this agreement. This right does not constitute the company’s obligations or commitments. The company cannot guarantee that illegal activities will be discovered in a timely manner or dealt with accordingly.
11.5 Users clearly understand and agree that the company does not provide any express or implied guarantee or condition of any kind regarding the services under this agreement, including but not limited to commercial merchantability, suitability for specific purposes, etc. Your use of the software and related services under this Agreement must be at your own risk.
11.6 The user clearly understands and agrees that this agreement is to ensure compliance with national laws and regulations, maintain public order and good customs, and protect the legitimate rights and interests of others. The company will do its best to make judgments in accordance with relevant laws and regulations within its capabilities, but it does not guarantee the company’s judgment. It is completely consistent with the judgment of judicial and administrative agencies. Users have understood and agreed to bear the consequences of this.
11.7 You clearly understand and agree that when you use any works or templates or materials in the [Talkii] application, you may not use the final content for commercial purposes, including but not limited to any commercial, Promotional, editorial, advertising or promotional purposes, etc. Not for profit, such as only for personal posters, personal works, personal display, personal entertainment, etc. It is for personal study use only and cannot be used for commercial purposes. Any photography, product images, fonts, portraits, music, etc. that appear in the [Talkii] work template are for reference only and may not be used for commercial purposes without the permission of the rights holder. 12. Special agreement on individual services

Certain individual services may require you to accept an agreement specially formulated for the service or other rules binding you and the service provider at the same time. The company will provide these agreements and rules in a conspicuous manner for your reference. 12.3 If you may use software and related services provided by a third party in the "[Talkii]" software, in addition to complying with this agreement and other relevant rules in the "[Talkii]" software, you should also abide by the third party's agreements and related rules. Any disputes, losses or damages arising from third-party software and related services shall be resolved between you and the third party

13. terms of use for minors

14.1 The establishment, entry into force, performance, interpretation and dispute resolution of this agreement shall be governed by the laws of the mainland of the People's Republic of China. If any provision of this agreement is invalid due to conflict with the laws of the mainland of the People's Republic of China, these provisions will be reinterpreted as close as possible to the original meaning of this agreement, and other provisions of this agreement shall still have full force and effect.

14.5 You and the company are independent subjects. In any case, this agreement does not constitute any form of express or implied guarantee or condition of the company to the user, nor does it constitute an agency, partnership, joint venture or employment relationship between the two parties.
